These Terms of Service ("Terms") govern your use of the TILT Networks, LLC ("TILT," "we," "us," or "our") website and related services.
By using our website or submitting information through our forms, you agree to these Terms.
1. Nature of Services
TILT is a commercial real estate brokerage that matches tenants and buyers with qualified local advisors and enforces service standards throughout the transaction process.
TILT is not a listing marketplace, property database, or public rating platform.
Unless explicitly stated otherwise in a separate written agreement, TILT is not acting as your attorney, tax advisor, or financial advisor.
Use of the website alone does not create a brokerage, agency, or fiduciary relationship. A brokerage relationship is formed only when you submit an intake form and TILT affirmatively accepts the engagement, or when you and TILT execute a separate written brokerage agreement, as required under applicable New Jersey law.
2. Compensation Disclosure
TILT may receive compensation in connection with transactions completed through advisors introduced through our platform. Compensation may include referral fees or commissions.
Such compensation does not increase the market cost of a lease or purchase beyond what would otherwise be payable in the transaction.
TILT does not guarantee economic outcomes, savings, or specific transaction terms.
3. Advisor Independence
Advisors introduced through TILT are independent professionals. They are not employees of TILT.
TILT does not control or direct the independent professional judgment of advisors, including negotiation strategy, transaction recommendations, or brokerage decisions made on behalf of their clients.
TILT does not supervise brokerage negotiations, legal drafting, property inspections, or transaction execution.
While TILT may enforce service standards and monitor responsiveness, ultimate transaction decisions and negotiations remain the responsibility of the client and advisor.
4. No Guarantees
Commercial real estate transactions involve risk. TILT does not guarantee:
- Specific rental rates
- Specific sale prices
- Successful transaction completion
- Timing of occupancy or closing
Users are responsible for conducting their own due diligence and consulting appropriate legal and financial professionals.
5. User Responsibilities
You agree that information you submit is accurate and truthful.
You agree not to use the website for unlawful purposes or to submit false information.
TILT reserves the right to suspend or terminate access to the website or services at any time if a user violates these Terms, engages in unlawful activity, or misuses the platform.
Users are responsible for maintaining their own copies of communications, documents, and transaction materials. Except as required by applicable law governing brokerage record retention, TILT has no obligation to retain documents or records on behalf of users.
6. Non-Circumvention
In consideration for TILT introducing you to one or more commercial real estate advisors, brokers, landlords, sellers, or other transaction participants (collectively, "Introduced Parties"), you agree that:
- You will not directly or indirectly circumvent TILT by engaging, negotiating with, or completing a transaction with any Introduced Party for the purpose of avoiding compensation payable to TILT.
- This non-circumvention obligation applies during your use of the Services and for a period of twenty-four (24) months following the most recent introduction by TILT.
- This provision applies to any lease, purchase, sale, renewal, expansion, extension, assignment, sublease, or other commercial real estate transaction involving an Introduced Party.
7. Intellectual Property
All content on this website, including text, branding, design, and workflow materials, is the property of TILT Networks, LLC unless otherwise stated.
Users may not reproduce, distribute, or create derivative works without written permission.
8. Limitation of Liability
Advisors introduced through TILT operate as independent professionals and are not employees of TILT. TILT is not responsible for the acts, omissions, representations, or conduct of any advisor or other third-party professional involved in a transaction.
To the fullest extent permitted by law, TILT shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the website or services.
In no event shall TILT's total liability exceed the greater of:
- $1,000, or
- The amount paid directly to TILT by the user in the preceding twelve months.
Any claim arising out of or relating to the website or services must be brought within one (1) year after the event giving rise to the claim, or such claim will be permanently barred.
9. Indemnification
You agree to indemnify and hold harmless TILT from claims arising from:
- Your misuse of the website
- Your violation of these Terms
- Inaccurate information you provide
- Claims, disputes, or liabilities arising from transactions, negotiations, or interactions between you and any advisor introduced through TILT
10. Document Handling
TILT may request transaction-related documents for verification purposes. TILT is not responsible for the legal sufficiency of those documents.
11. Call Recording
Calls conducted in connection with TILT services may be recorded for documentation and quality purposes. Continued participation constitutes consent where permitted by law.
12. Governing Law and Venue
These Terms are governed by the laws of the State of New Jersey.
Any dispute shall be resolved exclusively in the state or federal courts located in the State of New Jersey, and you waive any objection to venue or forum in such courts.
13. Changes to Terms
We may update these Terms from time to time. Changes become effective upon posting to the website. Continued use of the website after any updates are posted constitutes acceptance of the revised Terms.
